Terms and Engagement
1. Scope of Engagement
These Terms & Engagement (the "Terms") govern the professional relationship and dynamic advisory services provided by Nexa Financial (the "Firm") to your corporate entity (the "Client"). The specific parameters, strategic targets, delivery milestones, and financial resource allocations for each project will be formally outlined in a separate, mutually executed Statement of Work (SOW) or Engagement Letter. No professional operational activity will initiate until both parties sign the corresponding SOW.
2. Client Responsibilities and Data Integrity
To engineer compliant tax models, transfer pricing networks, or audited accounting structures, the Firm relies entirely on the accuracy, completeness, and real-time validity of the financial ledgers, transactional records, and operational profiles provided by the Client. The Client assumes absolute liability for the authenticity of all distributed source metrics. Nexa Financial explicitly disclaims responsibility for compliance failures, regulatory adjustments, or audit penalties arising from misleading, incomplete, or unverified corporate data provided by the Client.
3. Mutual Confidentiality and NDA Frameworks
Nexa Financial operates under rigid institutional Non-Disclosure Agreement (NDA) frameworks. Both the Firm and the Client agree to treat all financial architectures, proprietary software infrastructures, intellectual properties, and strategic business operational workflows shared during the engagement as strictly confidential. This protected structural data will not be disclosed to any third-party entities, except as explicitly required by sovereign statutory regulations or authorized regulatory evaluation boards.
4. Professional Fees and Allocation Thresholds
Advisory fees, monthly structural retainers, and specialized cost segregation segregation metrics will be invoiced under the specific allocation thresholds defined within the active SOW. Invoices are issued electronically and are subject to the standard payment terms outlined therein. Late payments or structural capital delays may result in the immediate and temporary suspension of active advisory pipelines, database updates, and strategic compliance monitoring engines.
5. Termination and Operational Sign-Off
Either party may terminate an active engagement by providing formal, written notice in accordance with the exact timeline metrics specified in the applicable Engagement Letter. Upon termination or project sign-off, Nexa Financial will transition all completed general ledgers, technical tax blueprints, and processed data assets back to the Client, subject to the full clearance of outstanding professional fee allocations.
